HUDCO Rs 70,000 Crore Fundraising Gets Shareholder Approval

HUDCO approved a Rs 1.50 final dividend for FY 2025-26 and proposed a Rs 70,000 crore fundraising plan through non-convertible bonds or debentures at its 56th AGM.

Housing and Urban Development Corporation Limited (HUDCO) held its 56th Annual General Meeting (AGM) on August 24 through video conferencing and other audio-visual means. Shareholders considered six business items, including the proposed final dividend and the HUDCO Fundraising Plan of up to Rs 70,000 crore.

The proposed fundraising will be carried out through non-convertible bonds or debentures on a private placement basis.

HUDCO AGM Approves Key Business Proposals

HUDCO Chairman and Managing Director (CMD) Sanjay Kulshrestha chaired the AGM. Other directors present included Director (Corporate Planning) M Nagaraj, Director (Finance) Daljeet Singh Khatri and Part-time Official (Government Nominee) Director Baldeo Purushartha.

Representatives from the Ministry of Housing and Urban Affairs and the Ministry of Rural Development also attended the meeting. Statutory Auditor Shambhu Nath, Secretarial Auditor and Scrutinizer Parul Jain, and Company Secretary Vikas Goyal were also present.

The AGM considered four ordinary business items and two special business items.

Shareholders considered and adopted HUDCO’s audited standalone and consolidated financial statements for the financial year ended March 31, 2026. They also considered the Board’s reports, Independent Auditor’s Report and comments from the Comptroller and Auditor General of India.

HUDCO Final Dividend of Rs 1.50 Per Share

Shareholders considered the declaration of a final dividend of 15 percent, amounting to Rs 1.50 per equity share, for FY 2025-26.

The dividend was recommended by the Board. The AGM also considered the confirmation of interim dividends that HUDCO had already declared and paid during the financial year.

Shareholders also considered the reappointment of Daljeet Singh Khatri as Director (Finance). He retired by rotation and was eligible for reappointment.

Another proposal authorised the Board to determine the remuneration of HUDCO’s statutory auditors for FY 2026-27.

HUDCO Fundraising Plan of Up to Rs 70,000 Crore

The HUDCO Fundraising Plan was one of the key proposals placed before shareholders as a special resolution.

Under the proposal, HUDCO will be able to raise up to Rs 70,000 crore through non-convertible bonds or debentures. The securities will be issued through private placement.

The proposed fundraising will support HUDCO’s funding requirements and provide greater financial flexibility for its business operations.

The AGM also considered the appointment of Baldeo Purushartha as Part-time Official (Government) Director.

Shareholders Raise Queries at AGM

Shareholders who registered as speakers were given an opportunity to raise questions and share their views during the AGM.

HUDCO addressed the queries raised by shareholders during the meeting.
